Sahedra Terms of Service

1.1 Interpretation

Headings are for convenience only and do not affect interpretation. Words in the singular include the plural and vice versa. References to “including” mean “including without limitation.”

• “Account” refers to the User’s unique profile created to access and utilize the Service.
• “Career Development Content” means any resources, materials, or tools provided by Sahedra to assist Users in managing or developing their careers.
• “Confidential Information” means any non-public information disclosed by one party to the other, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
• “User-Generated Data” means all data, information, and content submitted, uploaded, or generated by the User through the Service, including but not limited to application tracking, progress logs, performance reviews, goal setting, and career milestones.
• “Platform” refers to the Sahedra software-as-a-service application, accessible via web or mobile interface, which includes all Sahedra products (such as Harbans) designed for professional career development.
• “Service” means the Sahedra Platform and all Sahedra features, functionality, and Career Development Content provided under this Agreement, including Sahedra Products such as Harbans.
• “User Content” means any data, text, files, information, usernames, graphics, images, photos, profiles, audio and video clips, sounds, musical works, works of authorship, applications, links, and other content or materials that you submit or post on or through the Service, excluding User-Generated Data, which is separately defined.

2.1 Grant of License

Subject to the terms and conditions of this Agreement, Sahedra grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service solely for your internal, professional career development purposes during the term of this Agreement.

2.2 Service Modifications

Sahedra reserves the right to modify, suspend, or discontinue the Service (including Harbans or any part thereof) with or without notice at any time. You agree that Sahedra shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

2.3 Beta Features

From time to time, Sahedra may offer new “beta” features or tools with which Users may experiment (“Beta Features”). Beta Features are provided on an “as-is” and “as-available” basis for evaluation only, and are excluded from any warranties, service level agreements, or support obligations. Sahedra is not liable for any harm or damage arising out of or in connection with any Beta Feature. Such features or tools are offered solely for experimental purposes and without any warranty of any kind, and may be modified or discontinued at Sahedra’s sole discretion.

3.1 Account Registration

To access and use the Service, you must register for an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to notify Sahedra immediately of any unauthorized use of your Account or any other breach of security. Sahedra will not be liable for any loss or damage arising from your failure to comply with this security obligation.

3.3 Eligibility

Our Service is intended for users aged 16 and over. Users aged 16 and 17 can use the Service without parental consent. If you are under the age of 16, you must have the explicit permission of your parent or legal guardian to use the Service. We do not knowingly collect personal data from children under 16 without parental consent. If we learn that we have collected personal data from a child under 16 without parental consent, we will take steps to delete the information as soon as possible.

4.1 Sahedra Intellectual Property

The Service, including the Platform, Harbans, Career Development Content, and all underlying technology, software, algorithms, interfaces, and intellectual property rights therein, are and shall remain the exclusive property of Sahedra and its licensors. No right or license is granted to you to use Sahedra’s or Harbans’ trademarks, service marks, or logos.

4.2 User-Generated Data Ownership

As between Sahedra and you, all User-Generated Data and User Content submitted by you remains your property. You grant Sahedra a worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User-Generated Data and User Content solely for the purpose of providing and improving the Service to you and other Users, and as otherwise permitted by the Privacy Policy.

4.3 Aggregated Data

Notwithstanding Section 4.2, you agree that Sahedra may collect, aggregate, and anonymize data derived from the operation of the Service, including User-Generated Data, and use such aggregated and anonymized data to improve the Service, for statistical analysis, and for other business purposes. This aggregated data will not identify you or any individual User personally.

5.1 Prohibited Conduct

You agree not to use the Service to:

• Post, upload, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Upload, post, or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation.
• Interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies, or regulations of networks connected to the Service.
• Attempt to gain unauthorized access to the Service, other Accounts, computer systems, or networks connected to the Service through hacking, password mining, or any other means.
• Use the Service to track or manage career progress for any third party or for any purpose other than your own personal career development, unless explicitly authorized by a separate written agreement with Sahedra.
• Engage in any form of data mining, scraping, crawling, reverse engineering, or similar data gathering or extraction methods to obtain content or data from the Service, or to copy the design, structure, or “look and feel” of the Service for commercial purposes.

5.2 Compliance with Laws

You represent and warrant that your use of the Service and all User-Generated Data and User Content you submit will comply with all applicable local, state, national, and international laws and regulations, including but not limited to those related to data privacy and intellectual property.

6.1 Subscription Fees

If you subscribe to a paid tier of the Service, you agree to pay all applicable fees and charges for the Service as set forth on the Sahedra pricing page or in a separate Order Form. All fees are non-refundable unless otherwise expressly stated.

6.2 Automatic Renewal

Unless you notify Sahedra before the end of the applicable subscription period that you want to cancel, your subscription will automatically renew, and you authorize us to collect the then-applicable annual or monthly subscription fee (as well as any taxes) using any credit card or other payment mechanism we have on record for you.

7.1 Privacy Policy

Your use of the Service is also governed by Sahedra’s Privacy Policy, which explains how we collect, use, and protect your information.

7.2 Data Protection Compliance

Sahedra acts as a data controller of personal data processed through the Service and shall comply with the UK GDPR and the Data Protection Act 2018. Users may exercise their data-subject rights by contacting help@sahedra.com.

7.3 Data Processing Addendum (DPA)

If you use the Service on behalf of an organization (e.g., a university or employer), the Sahedra Data Processing Addendum forms part of this Agreement. Sahedra will employ appropriate technical and organizational measures to protect the security and integrity of the Service and your User-Generated Data. However, you acknowledge that no security system is impenetrable, and Sahedra cannot guarantee that unauthorized third parties will never be able to defeat our security measures.

8.1 Mutual Warranties

Each party represents and warrants that it has the legal power and authority to enter into this Agreement.

8.2 Disclaimer of Warranties

THE SERVICE, INCLUDING ALL CAREER DEVELOPMENT CONTENT, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SAHEDRA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.

8.3 Career Outcomes Disclaimer

SAHEDRA IS A TRACKING AND CAREER DEVELOPMENT TOOL AND DOES NOT GUARANTEE ANY SPECIFIC CAREER OUTCOME OR EMPLOYMENT. YOUR USE OF THE SERVICE AND RELIANCE ON ANY CAREER DEVELOPMENT CONTENT IS SOLELY AT YOUR OWN RISK.

8.4 No Affiliation and Accuracy Disclaimer

Unless explicitly stated otherwise, the companies, opportunities, and external resources listed or referenced on the Service are not affiliated with Sahedra. We list publicly accessible information to help Users, but inclusion does not imply endorsement or partnership. While we strive for accuracy, Sahedra does not guarantee the accuracy, completeness, or timeliness of any third-party information listed. Use at your own discretion.

You agree to indemnify, defend, and hold harmless Sahedra, its Affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from or relating to: (a) your violation of this Agreement; (b) your User-Generated Data or User Content; (c) your use of the Service; or (d) your violation of any rights of any third party, including intellectual property rights or privacy rights.

IN NO EVENT SHALL SAHEDRA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES. THIS EXCLUSION APPLIES EVEN IF SAHEDRA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Sahedra’s total cumulative liability to you for any and all claims arising out of or relating to this Agreement or your use of the Service, regardless of the form of action, is limited to the greater of: (a) the amount of fees paid by you to Sahedra for the Service in the twelve (12) months preceding the event giving rise to the claim; or (b) One Hundred Pounds Sterling (£100.00).

11.1 Term

This Agreement commences on the date you first accept it and continues until terminated in accordance with this Section 11.

11.2 Termination by User

You may terminate this Agreement at any time by discontinuing your use of the Service and deleting your Account.

11.3 Termination by Sahedra

Sahedra may terminate this Agreement immediately upon written notice to you if you materially breach any provision of this Agreement. Sahedra may also terminate this Agreement for convenience upon thirty (30) days’ prior written notice to the email address associated with your Account. Sahedra may suspend your Account without notice if you violate Section 5.1 (Prohibited Conduct).

11.4 Effect of Termination

Upon termination, your right to access and use the Service will immediately cease. Sahedra will delete or anonymize your personal data within ninety (90) days, except where retention is required by law or for legitimate business purposes (e.g., audit, dispute resolution). No refunds will be issued if your Account is terminated due to your breach of this Agreement or misconduct. Sections 1, 4, 7, 8, 9, 10, and 12 shall survive any termination or expiration of this Agreement.

12.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales.

12.2 Dispute Resolution

The parties shall first attempt to resolve any dispute through informal discussion. If unresolved within thirty (30) days, either party may bring proceedings exclusively in the courts of England and Wales.

12.3 Notices

Any notices or communications required or permitted under this Agreement shall be in writing and deemed given when delivered by email to the addresses associated with your Account or to help@sahedra.com, or by posting within the Service.

12.4 Entire Agreement

This Agreement constitutes the entire agreement between you and Sahedra concerning the Service and supersedes all prior or contemporaneous agreements, communications, and proposals, whether electronic, oral, or written, between you and Sahedra.

12.5 Waiver and Severability

The failure of Sahedra to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of this Agreement remain in full force and effect.

12.6 Assignment

You may not assign or transfer this Agreement, by operation of law or otherwise, without Sahedra’s prior written consent. Any attempt by you to assign or transfer this Agreement without such consent will be null and void. Sahedra may freely assign or transfer this Agreement without restriction.
